Business Description
Key Ledgers is an independent forensic accounting and expert witness practice serving solicitors, barristers and insurers across England and Wales. The practice is led by Bharat Varsani FCCA, who handles every instruction personally from the first enquiry through to report delivery and, where required, court attendance. There are no junior handoffs, no shared teams and no passing a matter between departments.
We act independently and do not adopt an advocacy role. Where we are instructed to give expert evidence in civil proceedings, our overriding duty is to the court, regardless of who instructs or pays us. Our work is prepared on the expectation that it may be tested by opposing experts, legal representatives and the Court, and that expectation sets the standard we apply. We accept instructions from solicitors acting for claimants and defendants, and single joint expert appointments.
How we work:
We define the financial issue, reconstruct the position from the source records and report the findings in a form suited to the agreed instruction. We distinguish documented findings from gaps and assumptions, and the scope is agreed before work starts.
Services
Forensic accounting: We reconcile disputed accounts, trace transactions and test financial calculations against source records so the question can be answered on evidence. Work may include reconciled schedules, a transaction chronology, a written analysis or an expert report.
Business valuation: We assess the value of a business or shareholding using its records, earnings and the circumstances of the instruction. Valuations support shareholder disputes, matrimonial matters and business purchases, with the assumptions that materially affect the conclusion set out clearly.
Transaction advisory: We review the financial information behind a proposed transaction so buyers can understand value, debt and potential liabilities before committing, including hire purchase commitments, tax exposures and working capital.
Expert witness services: CPR Part 35 expert witness services for financial disputes across England and Wales. We provide independent analysis, clearly reasoned reports, answers to written questions, joint statements and oral evidence where required, as a party expert or a single joint expert.
Commercial litigation: We analyse the financial issues in commercial claims, including disputed transactions, lost profits and the value of contested interests, and explain the basis of a loss calculation so solicitors and Counsel can examine it.
Shareholder disputes: We examine company records, shareholder funding and valuation evidence, including shareholder loans, director accounts and connected company balances, to clarify the financial issues when shareholders disagree or separate.
SPA reviews: We review the financial information relevant to a sale and purchase agreement, including financial schedules, completion accounts, debt and working capital, working alongside the client's solicitors. We review the financial substance; solicitors advise on warranties, tax clauses and the agreement itself.
Financial investigations: We investigate financial records and follow transactions across accounts or entities, including asset tracing and complex ownership structures, and we distinguish evidenced findings from gaps that need further records.
Depending on the instruction, the work may include reconciled financial schedules, a transaction chronology, a written analysis of findings, answers to written questions, a joint statement or a CPR Part 35 compliant expert report. We confirm any conflict check before accepting an instruction and work to agreed court timetables.
Specialist areas include reconstruction of inter-company loan accounts and shareholder funding positions, analysis of loan versus equity classification and substance over form, financial reconstruction from incomplete or disputed records, review and challenge of opposing expert or accountant prepared schedules, tracing of development funding across corporate structures, business interruption and the preparation of court ready schedules and evidential exhibits.
Instructions come from litigation, commercial, corporate, shareholder and family solicitors, Counsel, mediators, business owners, buyers, investors and professional advisers.
Our aim is to be a trusted forensic accounting and expert witness firm known for clarity, independence and analysis that withstands scrutiny. Our mission is to provide structured, independent and evidence based financial analysis that helps resolve disputes, clarify financial issues and support informed decision making.
